Terms of use of Immocontact services

INNOVATION TOOTELO INC. and its subsidiaries (hereinafter referred to as "Tootelo") provide a range of services, including those listed on its website https://immocontact.com (the "Website") and through its Immocontact application, accessible via both the application and the Website (the "Application").
The present Terms of Use, as defined below, govern your use of the Application and the Website. By registering for or using any of the services, you agree to comply with these Terms of Use and acknowledge that you have read and understood them (the "Terms of Use"). These Terms of Use constitute a binding agreement between you and Tootelo, effective as soon as you access the Website or the Application.
You acknowledge and agree that the Terms of Use may be amended in accordance with the provisions set out below, and you are encouraged to review the Terms of use regularly. Your continued use of or access to our Website or Application following the posting of updated Terms of use constitutes your acceptance of such updated Terms.
Finally, any failure on your part to comply with these Terms of Use may result in the closure of your User account (as defined herein) or in the restriction or prohibition of access to or use of all or part of the Website or Application, at Tootelo's sole discretion.
1. INTERPRETATION
1.1 When we refer to a "Client", we mean any person who is a client of Tootelo (as a License holder), whether an individual or a legal entity, operating notably, but not limited to, as a brokerage office, agency or association of real estate brokers, real estate board, or as a licensed real estate broker holding a valid and up-to-date practice licence, who uses the Application or the Website under a License and manages User access, all in accordance with these Terms of Use;
1.2 When we refer to "Content", we mean any material, content, element, text, document, chart, map, tab, feature, interface, photograph, image, data, database, metadata, Data, comment, information, and any other similar elements, including the manner in which the foregoing is presented or made available to Users on the Website or Application, whether by Tootelo or by any third party;
1.3 When we refer to "Data", we mean all commercial data and information relating to a real estate property, including, without limitation, prices, location, images, descriptions, Personal Information, ratings, and the history of conversations between a buyer, seller, and broker (or other User), as well as links or hyperlinks, communicated, sent, transmitted, or published by the Client (or its Users) through the Application or the Website; and
1.4 When we refer to "User(s)" or "you", we mean any individual who accesses or uses the Website, Application, or their Content. For clarity, "User" includes any person authorised by the Client to create an account and obtain secure access, namely a real estate broker and their administrative staff.
2. REGISTRATION AND ACCESS
2.1 Registration to the Application is exclusively reserved for Users, subject to verification carried out by Tootelo in accordance with these Terms of use. An account must be created with a distinct access code for each User. A real estate broker must hold, in their own name, a valid and up-to-date real estate brokerage licence.
2.2 To access the services, Users may download the Application or access it via the Website by entering their user code and password. Once registration is completed, Users may consent to receive Immocontact messages via SMS sent through Rich Communication Services (RCS). RCS is a standardised enhanced messaging protocol enabling real-time interaction, increased reliability and additional features such as grouping messages under a single contact.
2.3 By using the services of the Website or the Application, the User acknowledges and agrees that the information they provide, including Data relating to their property listings and their professional licence, may be verified by Tootelo, its subsidiaries, their representatives, or its partners in order to ensure the accuracy and compliance of such Data. This verification process may involve the sharing of data or information provided by a User, whether at the account creation stage or during the use of the Application or Website, with third parties, including any actor within the Quebec real estate industry, notably the Organisme d'autoréglementation du courtage immobilier du Québec (OACIQ). The verification process may include SSO verification as well as a dual verification process via SMS or email.
2.4 The User also authorises Immocontact to display their properties, related information, and any data required for their marketing within the search engine and platforms made available through the Application and the Website.
2.5 The User agrees, when registering or when providing any other information required for the proper operation of the Website and Services, to provide true, accurate, up-to-date and complete information, and to keep it regularly updated. In the event that false, inaccurate, outdated or incomplete information is provided, we reserve the right to close the account and refuse any future access to the Services.
2.6 Tootelo reserves the right, at its sole discretion, to refuse registration in the event of irregularities or inaccuracies in the information provided by a User. Tootelo shall not, under any circumstances, be held liable for any damage arising from the non-registration, removal, or restricted or limited access of a User. For clarity, even if the creation of and access to User accounts are managed by an office, agency or board, Tootelo reserves the right to verify the information provided and to approve or refuse the creation of any new User account. Accordingly, no new User account may be created without prior verification and approval by Tootelo.
2.7 The User is also fully responsible for updating and maintaining all information provided on their User account, in particular to enable proper identification by Tootelo and effective communication between the User, Tootelo (including its subsidiaries and representatives), other Users, and Tootelo's partners and those within the real estate industry, where applicable. Any message sent by Tootelo to a User at the email address provided shall be deemed to have been received and acknowledged by the User.
2.8 The User is responsible for maintaining the confidentiality of their password and for all actions carried out under their User account. The User further agrees to notify Tootelo without delay at the following email address confidentialitetootelo@tootelo.com in the event of theft or loss of their password or any unauthorised access to their account on the Website or Application.
3. USE
3.1 In consideration of payment to Tootelo of the applicable subscription fees and subject to compliance with the terms and obligations set out in these Terms of Use, and within their limits, Tootelo grants the Client and its Users a limited, non-perpetual, revocable, non-assignable, non-transferable and non-exclusive licence for the territory of Quebec, in respect of the Website or the Application, as applicable, solely for the purpose of accessing, viewing and using the Content and services.
3.2 In the course of their use of the Website or the Application and its Content, the Client and each User agree not to (and not to assist, collaborate with or facilitate any third party in any manner whatsoever in respect of the following, whether in whole or in part):
- use the Website, the Application or their Content, or permit or facilitate their use by any person, in any manner that constitutes or encourages the commission of a criminal or civil offence, or an infringement of intellectual property rights, or in any manner that breaches any applicable law or regulation;
- use the Website, the Application or their Content, or permit or facilitate their use by any person, to publish any Data which, in the opinion of a reasonable person, constitutes an invasion of privacy, an infringement of a person's physical or moral integrity, or which is defamatory, abusive, racist, violent, hateful or harassing content, and not to publish on the websites any Data containing ethnic slurs, homophobic content, or content offensive to any religion or spiritual belief, nor any attacks directed at any individual or group of individuals;
- use the Website, the Application or their Content, or permit or facilitate their use by any person without reading and accepting these Terms of Use;
- engage in conduct or make statements towards Tootelo's employees, suppliers, agents or representatives that constitute harassment or verbal, written or other forms of abuse;
- create or participate in the creation of any website or similar product that reproduces, in whole or in part, the Website, the Application, the Content or any trademark of Tootelo. For clarity, no right of access to source code or object code, nor any right of reproduction, modification, adaptation, translation, creation of derivative works, decompilation, disassembly or reverse engineering of any intellectual property element, including source code, is granted by Tootelo;
- carry out any action that may compromise the IT security of the service or of other Clients and Users. This includes interfering with or disrupting the Website or Application, services, servers or connected networks, as well as the recording or transmission of files or data containing viruses or programs intended to erase data from memory or perform any other malicious function. Failure to comply with applicable requirements, procedures, general rules or regulatory provisions governing connected networks is also prohibited;
- use the Website, the Application or their Content, or permit or facilitate their use by any person, to transmit any communication which, in the opinion of a reasonable person, constitutes advertising, a commercial offer, spam or any form of solicitation;
- use any system or mechanism intended to enable external indexing of any Content, including robots, spiders and other indexing tools or deep-linking/exploration tools of the Website or Application;
- use the Website, the Application or their Content, or permit or facilitate their use by any person, to publish content that a reasonable person would consider offensive, obscene, indecent, vulgar or sexually suggestive, or otherwise contrary to standards of good morals;
- share, distribute, transmit or otherwise input Data that is false, misleading or incomplete, or that infringes the rights of any third party, including intellectual property rights or the right to one's image; and
- use any Content (other than its own Data) for the purpose of selling, exchanging, distributing, publishing, broadcasting or otherwise commercialising it, or using the Content for public, commercial or non-personal purposes, in whole or in part, or in any manner inconsistent with these Terms of Use, whether free of charge or for consideration.
3.3 The Client and the User acknowledge that they are solely responsible for ensuring that their systems are capable of accessing and using the Website and the Application. IT IS RECOMMENDED THAT YOU USE AND REGULARLY UPDATE ANTIVIRUS SOFTWARE, ANTI-SPYWARE TOOLS AND FIREWALLS ON ANY SYSTEMS USED TO ACCESS THE WEBSITE AND APPLICATION.
3.4 Tootelo reserves the right to block, modify or remove any Data at any time, at its sole discretion, without notice or delay, and shall not be held liable in this regard.
4. PERSONAL INFORMATION
4.1 For the purposes of this article 4, "Personal Information" means any information relating to an identified or identifiable natural person, directly or indirectly. The Client and the User agree that Tootelo collects their Personal Information and may, from time to time, obtain additional information about them, including their professional licence and real estate properties.
4.2 Tootelo, the Client and the User each undertake to comply at all times with applicable laws, including those relating to privacy and the protection of personal information, as well as with Tootelo's Privacy policy, as amended from time to time.
4.3 The User acknowledges that Tootelo may disclose Personal Information to its employees, consultants, agents, service providers and other trusted third parties who require such information in order to assist Tootelo in carrying out and protecting its business activities or in providing services to the User in connection with the Website and Application. This includes verifying the accuracy of information provided by the User, in compliance with applicable law. While Tootelo will do its best to limit the disclosure of the User's Personal Information to third parties, it may engage service providers to perform various services on its behalf, such as IT management and security, marketing, payments, as well as data analysis, hosting and storage. As a result, the User's Personal Information may be stored on third-party servers or premises and may be accessed by such third parties' personnel in the course of their duties. Tootelo does not sell, trade or otherwise disclose the User's Personal Information to third parties, subject to applicable legal exceptions.
5. INTELLECTUAL PROPERTY
5.1 The Content accessed or available on the Website and the Application shall belong to Tootelo, as described below, or to third parties or other Clients or Users, and may be protected by rights, titles and interests, including intellectual property rights such as copyright and trademarks. All Content remains the exclusive property of Tootelo or its partners, licensors, contractors, or any other party that has authorised Tootelo to use its Content. Nothing in your access to or use of the Website or Application, nor anything in these Terms of Use, shall be interpreted as transferring, granting or licensing any rights whatsoever to you or any third party, other than a right to access and use the Content made available through the Website or Application in accordance with these Terms. For clarity, it is also prohibited to grant or sublicense any Content to a third party, or to reproduce, resell, copy, distribute, display or otherwise exploit or commercialise any Content that does not belong to you, in any manner whatsoever, whether on the Website, the Application or elsewhere, at any time.
5.2 Subject to the rights of Clients, Users or third parties and applicable law, Tootelo retains all intellectual property rights and all other rights, titles and interests in and to its Website, Application and their Content, as well as all technology and software relating to the services, Website and Application, including but not limited to source code, object code, visual identity, tabs, features, logos, trademarks, texts and images, together with any updates, upgrades, fixes, modifications, translations, versions (new or maintenance), derivative works and improvements of any of the foregoing elements, where applicable. These may not be used without the prior authorisation of Tootelo.
5.3 The Client and the User understand that all Data may be implemented or published by Tootelo in any manner whatsoever, at its sole discretion, including for the proper management, development, improvement, maintenance and use of the Application and the Website. The Client and the User therefore grant Tootelo a free, royalty-free, non-exclusive, unrestricted, worldwide, perpetual, transferable and sublicensable licence to use the Data, including the right to use, reproduce, modify, improve, distribute, publish, disseminate, compile, sell or otherwise commercialise it. Notwithstanding the foregoing, this licence is granted subject to applicable laws, including those relating to privacy and the protection of personal information.
6. WARRANTY AND LIMITATION OF LIABILITY
6.1 To the fullest extent permitted by applicable law, including consumer protection laws, the Client understands and agrees that Tootelo provides no warranty, whether express or implied, of any kind whatsoever in relation to the Website, the Application or their Content. Without limiting the generality of the foregoing, the Website, the Application and their Content are provided on an "AS IS" basis, including with respect to functionality, information, interruptions, delays, and any financial or non-financial consequences, whether actual or anticipated, positive or otherwise, arising from their use. Tootelo is not responsible for the legitimacy, accuracy or completeness of information provided by third-party suppliers or Data provided by Clients or Users, nor for any errors or modifications made to the Content by third parties, including for display within internal systems or external websites.
6.2 To the fullest extent permitted by applicable law, including consumer protection laws, under no circumstances shall Tootelo, including its subsidiaries and their representatives, be held liable, and the User irrevocably and unconditionally waives any claim against Tootelo, its subsidiaries and their representatives, for any special, indirect, consequential or punitive damages (including loss of revenue or profits, loss of business opportunities, or amounts payable under third-party contracts), in connection with the performance of these Terms, except in cases of gross fault or gross negligence by Tootelo. In any event, and to the fullest extent permitted by applicable law, including consumer protection laws, Tootelo's liability, including that of its subsidiaries and their representatives, shall be limited to the amounts paid by the User for access to and use of the services available on the Website or Application that gave rise to the claim.
7. UNSUBSCRIPTION
If you wish to stop receiving enriched SMS (RCS) messages from Tootelo, you may do so at any time by replying STOP or ARRET in response to any received communication. The commands HELP or AIDE are also available for support when receiving RCS messages.
If these Terms of Use are terminated in any manner whatsoever, Tootelo may continue to use the Data and Personal Information in accordance with applicable law, these Terms of Use (including the licence granted to Tootelo over the Data), and the Privacy policy, as amended from time to time.
